1. Introduction

These Seller Terms and Conditions (“Terms”) govern your engagement as a seller on KTLP (ktlp.in). By registering, you agree to abide by these Terms, all platform policies, and applicable Indian laws.

2. Eligibility

Only legally registered businesses in the fashion segment—including clothing, accessories, footwear, and bags—are eligible to sell on KTLP.

Sellers must provide:

  • Valid GSTIN and PAN
  • Required business documentation during onboarding

KTLP reserves the right to validate all submissions.

3. Seller Account and Verification

  • Sellers must complete account registration with accurate and truthful information.
  • KTLP retains the right to verify, reject, or suspend any seller account that fails compliance or quality standards.

4. Product Listings

  • Only fashion-related products are permitted.
  • Listings must contain:
    • Accurate descriptions
    • High-quality images
    • Correct pricing and stock data
  • Prohibited:
    • Counterfeit, replica, or unauthorized branded products
    • Misleading information or deceptive marketing

Violations can result in account suspension or permanent ban.

5. Pricing and Payments

  • Sellers are responsible for setting inclusive product pricing (inclusive of taxes).
  • KTLP charges a commission fee per successful sale, disclosed at onboarding.
  • Payment Cycle: T+7 basis (7 days after successful delivery).
  • Payments are credited to the bank account provided by the seller.

6. Order Fulfillment & Shipping

  • Sellers must dispatch orders within stipulated timelines.
  • Delays, cancellations, or poor packaging may lead to penalties or account suspension.
  • KTLP may offer logistics support or permit sellers to use approved third-party couriers.

7. Returns and Refunds

  • Sellers must comply with the KTLP Return & Refund Policy.
  • Returned items must be accepted unless they fall within non-returnable categories specified by KTLP.
  • In disputes, KTLP’s decision is final.

8. Taxes and Invoicing

  • Sellers must issue GST-compliant invoices with every sale.
  • Full compliance with Indian tax laws (GST, TDS, etc.) is mandatory.
  • KTLP is not liable for any tax non-compliance by the seller.

9. Prohibited Seller Activities

Sellers are strictly prohibited from:

  • Listing non-fashion items
  • Fraudulent, deceptive, or unethical business practices
  • Infringing intellectual property rights
  • Redirecting KTLP customers to external websites or platforms

10. Intellectual Property

By listing products, sellers grant KTLP a non-exclusive right to use product images, descriptions, brand names, and other content for:

  • Marketing and promotion
  • Platform operations

11. Account Suspension and Termination

KTLP reserves the right to suspend or terminate seller accounts for:

  • Breach of these Terms
  • Poor performance or customer complaints
  • Legal or regulatory violations
  • Fraudulent or suspicious activities

12. Limitation of Liability

KTLP is not liable for:

  • Indirect, incidental, or consequential losses
  • Loss of profits, data, or business opportunities arising from seller activities on the platform

13. Amendments

These Terms may be updated by KTLP at any time. Sellers will be notified, and continued use implies acceptance of updated terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes shall fall under the exclusive jurisdiction of the courts in Gautam Buddh Nagar, Uttar Pradesh.
